Conditions governing your registration and use of oripa.cards, including age, jurisdiction, and randomised-outcome acknowledgements.

These Terms & Conditions ("T&C") govern your access to and use of the Oripa.cards platform operated by The Concept Labs Company Limited, a company incorporated under the laws of the Kingdom of Thailand ("we", "us", "our", or "Oripa.cards").

These T&C take precedence over all other platform communications, marketing materials, and prior versions of any platform document. In the event of any conflict between these T&C and the Oripa.cards Terms of Service or Privacy Policy, these T&C shall govern to the extent of the inconsistency.

By completing the acknowledgement checkbox at registration and proceeding to use the Service, you confirm that you have read, understood, and agree to be bound by these T&C in their entirety.

1. Age Requirement

You must be 20 years of age or older to use this platform.

Oripa.cards operates as a premium digital collectibles platform involving digital asset transactions. Under Thai law, individuals under 20 years of age ("minors" under the Civil and Commercial Code B.E. 2535, Section 19) do not have full legal capacity to enter binding contracts, and may have additional PDPA protections apply. Accordingly, the minimum age to access any feature of the Service is 20 (twenty) years.

Persons under 20 are strictly prohibited from accessing, registering for, purchasing Boxes or Packs, using the Marketplace, engaging with the Buyback feature, or redeeming physical cards.
We enforce this requirement at KYC Tier 1 via government-issued ID with automatic date-of-birth parsing. Any account found to be held by a person under 20 will be immediately suspended and its assets frozen pending investigation.
Any contract, purchase, or transaction made using false age information is voidable at our discretion. We reserve the right to forfeit any Platform Credit balance, Digital Title Assets, or pending Buyback proceeds associated with an account found to have provided false age declarations.

2. Jurisdiction & Residency Restrictions

You must not use this platform if you are a permanent resident of, or currently located in, a Restricted Jurisdiction.

2.1 Restricted Jurisdictions

Access to and use of the Service — including purchasing Boxes or Packs, converting USDC to Platform Credit, using the Marketplace, or engaging the Buyback feature — is strictly prohibited if you are a permanent resident of, or are currently located in, any of the following jurisdictions:

Thailand, the People's Republic of China (including Hong Kong SAR and Macau SAR), Algeria, Bangladesh, Bolivia, Egypt, Iraq, Morocco, Nepal, North Korea (DPRK), Qatar, Tunisia, Iran, Syria, Cuba, Russia, Belarus, and Myanmar, and any other jurisdiction where the use of the Service, digital asset transactions, stablecoin payments, or randomised digital goods purchases is prohibited, restricted, or requires a licence that Oripa.cards does not hold.

Note on Thailand: The Concept Labs Company Limited is incorporated in Thailand, but the Oripa.cards platform is operated exclusively for users outside Thailand. The Bank of Thailand's prohibition on using digital assets as a means of payment for goods and services (SEC Regulation 5/2565, April 2022, extended September 2024) applies to the structure of this platform. Thai residents and persons physically located in Thailand must not use the Service during the pre-licensing period. This restriction will be reviewed following completion of the relevant regulatory engagements.

Note on evolving restrictions: This list reflects our assessment as of the date of these T&C and is subject to change without notice as the global regulatory landscape evolves. It is your sole responsibility to determine whether your use of the Service is lawful in your jurisdiction before proceeding. If you are unsure, consult qualified legal counsel. We reserve the right to add or remove jurisdictions at any time.

2.2 Sanctions Compliance

You represent and warrant that:

You are not named on, and are not acting on behalf of any person or entity named on, any trade or economic sanctions list, including the UN Security Council Consolidated List, the U.S. Treasury OFAC SDN List, the U.S. Commerce Department Denied Persons List, the EU Consolidated Financial Sanctions List, or the UK HM Treasury Consolidated List.
You will not use the Service in any manner that would violate applicable sanctions, anti-money laundering, or counter-terrorist financing law.

2.3 VPN & Circumvention Prohibition

You must not use a VPN, proxy, Tor, or any other technical means to mask your geographic location or to circumvent geographic access restrictions imposed by these T&C. Any attempt to do so constitutes a material breach of these T&C and will result in immediate account suspension, asset freeze pending investigation, and potential permanent termination.

2.4 False Jurisdiction Declaration

Any account found to have been created or used in breach of Section 2.1 using a false jurisdiction declaration is subject to immediate termination. We reserve the right to forfeit any Platform Credit balance, Digital Title Assets, pending Buyback proceeds, and any accumulated XP or rewards associated with that account without refund or compensation.

3. How the Platform Works: Understanding the Architecture

Before confirming your acceptance, you must understand how Oripa.cards operates. The platform does not accept direct USDC payment for Packs. It operates through a four-layer architecture, each layer of which is a legally distinct transaction:

Adding Funds to Your Account

You can add funds to your Oripa account in two ways: by depositing USDC from a personal wallet you control, or by paying with a credit card, debit card, Apple Pay, or Google Pay processed through our licensed third-party payment provider. In both cases, the funds you add are credited to your account as a platform credit balance.

For your convenience, your platform credit balance is displayed in USD-equivalent terms throughout the Oripa interface. Platform credit is an internal account balance used solely within the Oripa platform. It is not itself US dollars or any other fiat currency, it is not a bank deposit, it does not earn interest, and it cannot be redeemed directly for cash. Platform credit can only be used to purchase packs, list items on the marketplace, or be applied toward other Oripa platform activity.

Buying and Opening Packs

When you purchase a pack, the price is deducted from your platform credit balance. When you open a pack, you will receive either a non-fungible token (NFT) representing ownership of a specific physical graded card held in our vault, or additional platform credit added to your account. Pack contents are cryptographically pre-determined before any pack is offered for sale (see the Provably Fair section).

Selling Cards Back to Oripa

Following each pack opening that yields an NFT, Oripa will present you with a buyback offer at 85% of the prevailing market price for that card. You may accept the offer within one hour of pack opening from your inventory. Buyback proceeds are credited to your platform credit balance in USDC (displayed in USD-equivalent terms). After one hour, the buyback offer expires; you remain the owner of the NFT and may list it on the marketplace, trade it with other users, hold it, or request physical delivery of the underlying card.

Withdrawing Funds

You may withdraw your USDC balance to an external wallet you control at any time, subject to standard verification and security checks. Withdrawal of funds to a fiat bank account (in THB or other local currency) is a feature we are currently developing. When this feature becomes available, fiat withdrawals will be processed through a licensed third-party off-ramp partner who will handle the conversion from USDC to your local currency and the transfer to your bank account. Oripa does not directly perform fiat conversion or operate as a foreign-exchange provider.

You acknowledge that you have understood this architecture and that each layer constitutes a distinct, independent transaction.

4. Pack Purchases: Randomised Outcomes & Assumption of Risk

Box and Pack purchases involve randomised outcomes. The specific card revealed is determined by a provably fair process and is not predetermined.

By purchasing any Box or Pack on the Service, you expressly acknowledge and agree that:

Each Pack contains a product drawn from a defined pool using a provably fair commit-reveal randomisation system. The specific card you receive is determined randomly and is not guaranteed.
The market value of the card revealed may differ from the Platform Credit price of the Pack. Odds and drop rates are published per Box before sale and are available for your review before any purchase. It is your responsibility to review these before proceeding.
Past pulls — whether your own or those of other users on the platform or on social media — do not predict or guarantee your results.
The "Sell to Oripa" / Buyback feature is not a guarantee of value, does not represent a floor price, and must not be relied upon as assurance of any return. Buyback prices are discretionary market quotes, are subject to change, and may be modified or discontinued at any time.
You are making this purchase voluntarily with full awareness that outcomes are randomised.

5. Cooling-Off Period & Opened Pack Finality

5.1 Statutory 7-Day Cooling-Off

Under the Thai Consumer Protection Act (CPA), you have the right to a full refund on unopened Packs within 7 (seven) calendar days of purchase. This right cannot be contracted away. To exercise this right, the Pack must remain unopened. Refunds under this provision are paid in USDC at the original purchase price equivalent. Once a Pack is opened, this cooling-off right is extinguished for that Pack.

5.2 Opened Packs: Title to Physical Product

Once a Pack is opened and a Digital Title Asset is delivered to your wallet, the opening is final and non-refundable. The Digital Title Asset represents your title of ownership to the specific physical graded card identified by its certification number and serial number held in Oripa's vault. You retain ownership of that title indefinitely until you choose to sell, transfer, or redeem it. There is no expiry on opened Digital Title Assets.

5.3 Box Retirement by Oripa

Oripa may retire a Box before all Packs have been sold or opened. In the event of operator-initiated Box retirement, Packs already held in your wallet are unaffected and your rights under Section 5.1 are preserved for any unopened Packs still within the cooling-off window.

6. Identity Verification (KYC)

Access to certain features of the Service — including purchases, the Marketplace, and Sell-to-Oripa — requires identity verification. Additional features to be introduced in the future, in particular off-ramping and fiat withdrawal functionality, will require completion of further verification steps before they can be accessed.

You acknowledge that:

We may require you to complete identity verification at any time, including before processing transactions, enabling new features, or where required by applicable law.
The scope and requirements of verification may expand as the platform introduces new features and completes its regulatory licensing process.
Failure to complete requested verification will result in suspension of the affected features until verification is complete. We will provide reasonable notice of any new verification requirements before they take effect.
All identity data collected during verification is processed in accordance with our Privacy Policy and the Thai PDPA.

7. On-Chain Data & Blockchain Transparency

Your on-chain activity is permanently and publicly recorded on the Monad network and cannot be deleted.

7.1 What Is Recorded On-Chain

The following categories of data are recorded on the Monad network and are public, permanent, and immutable:

Your wallet address (Oripa-generated pseudonym or self-custodial wallet address)
Pack outcome hashes (commit-reveal proof data)
Digital Title Asset mints, transfers, and burns
PSA/BGS/CGC certification numbers, serial numbers, and grades (factual descriptors)
Marketplace transaction records
Mint timestamps

The following are never recorded on-chain: your email address, phone number, government ID, name, IP address, KYC documents, or any directly identifying personal information.

7.2 Off-Chain Personal Data

Personal data collected through the Service is held and processed by the following third parties, not directly by Oripa.cards:

Shipping & redemption details (name, address, phone number): held by our designated shipping and logistics provider for fulfillment. We encourage you to review their privacy policy before submitting a redemption request.
Account & identity data (email, KYC documents, wallet-address mapping, and other personal information): held and managed by our designated customer data and identity management provider. We encourage you to review their privacy policy.

In each case, data is subject to our Privacy Policy and the Thai PDPA. The wallet-address-to-user-account mapping held by our data service provider is what enables erasure requests to effectively anonymise your on-chain record as described in Section 7.3.

7.3 Right to Erasure and Blockchain Immutability

Your right to erasure under the Thai PDPA (Section 33) and equivalent laws applies to your off-chain personal data only. When we process an erasure request, we delete all PII and the user-account-to-wallet-address mapping from our off-chain database. The on-chain wallet address becomes an orphan — no longer linkable to you as a natural person — and is treated as effectively anonymous per applicable regulatory guidance. We cannot delete, modify, or remove any data recorded on the Monad network.

7.4 Third-Party Blockchain Analytics

We may use third-party blockchain analytics services to monitor on-chain activity for compliance, fraud prevention, and sanctions screening. This may include analysis of the transaction history of wallets connected to your account, including activity predating your use of the Service.

7.5 No Expectation of Privacy for On-Chain Activity

You acknowledge that you have no reasonable expectation of privacy with respect to any transaction or activity recorded on the Monad network, and that such data is globally visible and permanently retained by the network irrespective of your Oripa.cards account status.

8. Third-Party Intellectual Property & Nature of Card Ownership

The trading cards available through the Service feature intellectual property — including artwork, characters, logos, and brand elements — owned by their respective rights holders, which may include The Pokémon Company, Konami Digital Entertainment, Wizards of the Coast, Bandai, Panini, Topps, and other publishers and licensors. Oripa.cards does not own, claim, or hold any license to these intellectual properties.

A Digital Title Asset issued through the Service represents your title of ownership to a specific physical graded card held in Oripa's vault, identified by its grader certification number and serial number. It is nothing more and nothing less than a digital record of that ownership. Acquiring a Digital Title Asset does not grant you any license or rights in the intellectual property of the card's artwork, characters, brand, or content. Your rights in the physical card are the same rights you would have as the owner of any legitimately purchased physical trading card — including the right to hold, sell, or redeem it — and do not extend to reproduction, commercial use, or exploitation of the underlying IP.

9. Not an Investment; No Financial Advice

Digital Title Assets issued through the Service represent certificates of ownership for specific physical graded trading cards held in vault custody. They are not securities, investment contracts, shares, bonds, or any other form of financial instrument.
They do not represent equity, debt, revenue sharing, governance rights, or any investment interest in The Concept Labs Company Limited or any of its affiliates.
You must not purchase any Box, Pack, or digital asset with the expectation of profit derived from the efforts of Oripa.cards or any third party, or for speculative or investment purposes.
Oripa.cards does not provide tax advice, financial advice, investment advice, or legal advice. You are solely responsible for your compliance with all applicable tax and financial reporting obligations in your jurisdiction.

10. Beta Platform Acknowledgment

The Service is currently operating in a pre-licensed beta phase pending completion of regulatory engagements in Thailand (including MOI advisory opinion and SEC licensing applications). You acknowledge that:

Certain features of the platform may be modified, restricted, gated, or discontinued as licensing and regulatory processes progress.
Access may be limited to users invited via KOL/affiliate registration links during the interim period.
The existence of this beta phase does not affect the validity of these T&C, your purchase obligations, or your cooling-off rights under Section 5.
We will communicate material changes to platform access or features through the Service or via email.

11. Prohibited Conduct

You agree that you will not:

Access or use the Service if you are a permanent resident of or located in a Restricted Jurisdiction (Section 2.1);
Use a VPN, proxy, Tor, or similar tool to circumvent geographic access restrictions (Section 2.3);
Create multiple accounts to circumvent platform rules, geographic restrictions, KYC requirements, or promotional eligibility;
Engage in wash trading, shill bidding, coordinated price manipulation, or any other form of market manipulation on the Marketplace;
Use the Service to launder money, finance terrorism, or conduct any other illegal activity;
Provide false information during KYC verification, account registration, or jurisdiction confirmation;
Attempt to exploit, hack, tamper with, or interfere with the Service's smart contracts, provably fair commit-reveal mechanisms, or security infrastructure;
Use automated tools, bots, or scripts to interact with the Service without prior written consent.

12. Personal Data & Privacy

By using the Service, you acknowledge that:

We collect, process, and store personal data as described in our Privacy Policy, in compliance with the Thai Personal Data Protection Act B.E. 2562 (PDPA) and, where applicable, the GDPR, CCPA, and other applicable data protection laws.
We separate on-chain pseudonymous data from off-chain personally identifying data as described in Section 7. Off-chain personal data is held by our designated third-party service providers as described in Section 7.2.
You have rights under the PDPA to access, rectify, restrict, object to, and request erasure of your off-chain personal data. Data recorded on the Monad network is outside the scope of erasure rights.

13. Governing Law & Dispute Resolution

These T&C are governed by the laws of the Kingdom of Thailand, without regard to its conflict of laws principles.
Any dispute arising under or in connection with these T&C shall first be subject to informal resolution by contacting [email protected] with a written description of the dispute. We will attempt resolution within 60 days.
If unresolved, the dispute shall be referred to binding arbitration administered by the Thai Arbitration Institute (TAI), seated in Bangkok, Thailand, conducted in English before a sole arbitrator. The arbitrator's award is final and binding.
Any arbitration or legal proceeding will be conducted solely on an individual basis. Class actions, collective actions, and representative proceedings are waived to the fullest extent permitted by applicable law.
Either party may seek injunctive or equitable relief from a court of competent jurisdiction to protect intellectual property or prevent irreparable harm.

14. Amendments & Hierarchy

These T&C take precedence over all other platform documents, communications, and prior versions in the event of any conflict.
We may update these T&C at any time. Material changes will be communicated through the Service or via email before taking effect. Non-material updates take effect upon posting.
Your continued use of the Service after any update constitutes your acceptance of the revised T&C.

15. Registration Acknowledgment Checkboxes

By accepting the terms you have agreed to all of the following five declarations:

Age Confirmation: I confirm that I am 20 years of age or older. I understand that providing false age information may result in immediate account termination and forfeiture of any associated assets.

Jurisdiction Confirmation: I confirm that I am not a permanent resident of, and am not currently located in, Thailand, the People's Republic of China (including Hong Kong SAR and Macau SAR), Algeria, Bangladesh, Bolivia, Egypt, Iraq, Morocco, Nepal, North Korea, Qatar, Tunisia, Iran, Syria, Cuba, Russia, Belarus, Myanmar, or any other jurisdiction where use of this platform or payment via digital assets is prohibited by applicable law. I understand that using a VPN or proxy to circumvent this restriction constitutes a material breach of these T&C.

On-Chain Data Acknowledgment: I understand and accept that my wallet activity, Pack opening results, Digital Title Asset transactions, and related on-chain data are permanently and publicly recorded on the Monad network and cannot be deleted or modified by Oripa.cards or by me.

Randomised Outcomes & Cooling-Off: I understand that Box and Pack purchases involve randomised outcomes and that the specific card revealed is determined by a provably fair process. I understand that I have a 7-day cooling-off right on unopened Packs, and that all Pack openings are final and non-refundable once revealed. I acknowledge that once opened, my Digital Title Asset represents permanent ownership of the corresponding physical card with no expiry.

Terms of Service & Privacy Policy: I confirm that I have read and agree to the Oripa.cards Terms of Service and Privacy Policy, and these Terms & Conditions.
