Terms of Service
Terms governing your use of oripa.cards.
Last Updated: 20 June 2026
1. Introduction and Acceptance
These Terms of Service (the "Terms") form a legally binding agreement between you ("you", "your", or "User") and The Concept Labs Company Limited, a company incorporated and registered under the laws of the Kingdom of Thailand ("Oripa.cards", "we", "us", or "our"), governing your access to and use of the website located at https://oripa.cards, any successor or related domains, our mobile and desktop applications, and all related services we provide (collectively, the "Service").
By accessing or using the Service, creating an account, connecting a digital wallet, purchasing a Box, opening a Pack, listing or purchasing items on the Marketplace, redeeming a Digital Title Asset for a physical card, or otherwise engaging with any feature of the Service, you expressly acknowledge that you have read, understood, and agree to be bound by these Terms together with our Privacy Policy, Cookie Policy, Provable Fairness Disclosure, Buyback Terms, Redemption and Shipping Terms, and any supplemental policies referenced in these Terms (collectively, the "Agreement"). If you do not agree to these Terms, you must not access or use the Service.
We reserve the right to revise these terms at any time without prior notice. For material changes — including changes to fees, buyback rates, prohibited jurisdictions, the Platform Credit system, or other economically significant terms — we will use reasonable efforts to provide advance notice through the Service or via email before the change takes effect. Material changes apply prospectively only and do not affect transactions completed before the effective date. For non-material updates we will revise the "Last Updated" date above. Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of those Terms.
IMPORTANT NOTICE: SECTIONS 13 AND 15 CONTAIN A LIMITATION OF LIABILITY, AN ARBITRATION AGREEMENT, AND A CLASS ACTION WAIVER. PLEASE READ THESE PROVISIONS CAREFULLY, AS THEY AFFECT YOUR LEGAL RIGHTS.
2. Eligibility
To access and use the Service, you must:
- Be at least 20 (twenty) years of age. Under Thai law (Civil and Commercial Code B.E. 2535, Section 19), individuals under 20 are minors without full legal capacity to enter binding contracts. This minimum age applies regardless of the age of majority in your own jurisdiction;
- Have the legal capacity to enter into a binding contract under the laws of your jurisdiction;
- Not be a resident of, or located in, any Restricted Jurisdiction listed in Section 2.1;
- Not be subject to any economic sanctions administered or enforced by the United Nations, the United States, the European Union, the United Kingdom, or any other applicable authority;
- Not have been previously suspended or terminated from the Service.
By using the Service, you represent and warrant that you meet all of the foregoing eligibility requirements. If you are using the Service on behalf of an entity, you further represent and warrant that you have authority to bind that entity to these Terms.
We enforce the age requirement at account registration via government-issued identity verification with automatic date-of-birth parsing. Any account found to be held by a person under 20 will be immediately suspended and its assets frozen pending investigation. Any transaction made using false age information is voidable at our discretion. We reserve the right to forfeit any Platform Credit balance, Digital Title Assets, or pending proceeds associated with an account found to have provided false age declarations.
We may require identity verification (KYC) at any time, including before processing redemptions, enabling certain features, or where required by applicable law. Failure to complete requested verification may result in suspension of the affected features or your account until verification is complete.
2.1 Restricted Jurisdictions
Access to and use of the Service — including purchasing Boxes or Packs, converting USDC to Platform Credit, using the Marketplace, or engaging the Sell-to-Oripa feature — is strictly prohibited if you are a permanent resident of, or are currently located in, any of the following jurisdictions:
Thailand, the People's Republic of China (including Hong Kong SAR and Macau SAR), Algeria, Bangladesh, Bolivia, Egypt, Iraq, Morocco, Nepal, North Korea (DPRK), Qatar, Tunisia, Iran, Syria, Cuba, Russia, Belarus, and Myanmar, and any other jurisdiction where the use of the Service, digital asset transactions, stablecoin payments, or randomised digital goods purchases is prohibited, restricted, or requires a licence that Oripa.cards does not hold.
Note on Thailand: The Concept Labs Company Limited is incorporated in Thailand, but the Oripa.cards platform is operated exclusively for users outside Thailand. The Bank of Thailand's prohibition on using digital assets as a means of payment for goods and services (SEC Regulation 5/2565, April 2022, extended September 2024) applies to the structure of this platform. Thai residents and persons physically located in Thailand must not use the Service during the pre-licensing period. This restriction will be reviewed following completion of the relevant regulatory engagements.
Note on evolving restrictions: This list reflects our assessment as of the date of these Terms and is subject to change without notice as the global regulatory landscape evolves. It is your sole responsibility to determine whether your use of the Service is lawful in your jurisdiction before proceeding. If you are unsure, consult qualified legal counsel. We reserve the right to add or remove jurisdictions at any time.
Any account found to have been created or used in breach of this Section using a false jurisdiction declaration is subject to immediate termination. We reserve the right to forfeit any Reward Points balance, Digital Title Assets, pending proceeds, and any accumulated XP or rewards associated with that account without refund or compensation.
2.2 Sanctions Compliance
You represent and warrant that you are not on any trade or economic sanctions list, including the UN Security Council Sanctions list, the U.S. Treasury OFAC Specially Designated Nationals and Blocked Persons List, the U.S. Commerce Department's Denied Persons List, the UK HM Treasury Consolidated List of Financial Sanctions Targets, or the EU Consolidated List. We reserve the right to immediately screen, block, and freeze the accounts and assets of any User found to be in violation of applicable sanctions laws.
2.3 VPN & Circumvention Prohibition
You must not use a VPN, proxy, Tor, or any other technical means to mask your geographic location or to circumvent geographic access restrictions imposed by these Terms. Any attempt to do so constitutes a material breach of these Terms and will result in immediate account suspension, asset freeze pending investigation, and potential permanent termination.
2.4 Risk Acknowledgment
By accessing or using the Service, you acknowledge and agree that:
- Pack and Box purchases involve randomised outcomes, and the market value of cards received may differ from the Platform Credit price paid;
- Past results — including cards received by other Users — do not predict or guarantee future results;
- Digital Title Assets exist on the Monad network and are subject to the operational risks of that network, including network congestion, forks, and protocol vulnerabilities;
- The market value of physical and digital collectibles may fluctuate significantly, including to zero;
- You are not relying on Oripa.cards for investment, financial, legal, or tax advice;
- You accept full responsibility for your decisions to purchase, open, list, sell, redeem, or otherwise interact with assets on the Service.
Not a Security or Investment. Digital Title Assets issued through the Service represent digital certificates of ownership for specific physical trading cards held in vault custody. They are not securities, investment contracts, or financial instruments. They do not represent equity, debt, revenue share, governance rights, or any form of investment contract in The Concept Labs Company Limited or any affiliate. You should not purchase any Box, Pack, or Digital Title Asset with the expectation of profit derived from the efforts of Oripa.cards or any third party.
3. Account Registration
To access certain features of the Service you must create an account. Account registration may be completed via email, social login (e.g., Google or Apple), or by connecting a compatible self-custodial wallet. Where you do not connect an external wallet, an embedded wallet may be provisioned for you (through our wallet infrastructure provider) to hold Digital Title Assets and stablecoin balances on the Monad network.
You are solely responsible for:
- Maintaining the security and confidentiality of your account credentials, including any private keys, seed phrases, or recovery information associated with your wallet;
- All activities that occur under your account, whether or not authorized by you;
- Promptly notifying us of any unauthorized access or suspected compromise of your account.
We will not be liable for any loss or damage arising from your failure to safeguard your account credentials or wallet access. You agree not to create more than one account, share your account, or transfer your account to any third party without our prior written consent.
4. How the Service Works
Oripa.cards operates a hybrid physical-digital collectibles platform that digitises the Japanese oripa (original pack) experience. The Service enables Users to purchase, open, collect, trade, and manage digital representations of real physical trading cards stored in professional vault facilities. Supported categories include sports cards, trading card games (TCG), and other collectible card categories made available through the Service from time to time.
4.1 Platform Architecture
The platform does not accept direct USDC payment for Packs. It operates through a four-layer architecture, each layer of which is a legally distinct transaction:
Adding Funds to Your Account
You can add funds to your Oripa account in two ways: by depositing USDC from a personal wallet you control, or by paying with a credit card, debit card, Apple Pay, or Google Pay processed through our licensed third-party payment provider. In both cases, the funds you add are credited to your account as a platform credit balance.
For your convenience, your platform credit balance is displayed in USD-equivalent terms throughout the Oripa interface. Platform credit is an internal account balance used solely within the Oripa platform. It is not itself US dollars or any other fiat currency, it is not a bank deposit, it does not earn interest, and it cannot be redeemed directly for cash. Platform credit can only be used to purchase packs, list items on the marketplace, or be applied toward other Oripa platform activity.
Buying and Opening Packs
When you purchase a pack, the price is deducted from your platform credit balance. When you open a pack, you will receive either a non-fungible token (NFT) representing ownership of a specific physical graded card held in our vault, or additional platform credit added to your account. Pack contents are cryptographically pre-determined before any pack is offered for sale (see the Provably Fair section).
Selling Cards Back to Oripa
Following each pack opening that yields an NFT, Oripa will present you with a buyback offer at 85% of the prevailing market price for that card. You may accept the offer within one hour of pack opening from your inventory. Buyback proceeds are credited to your platform credit balance in USDC (displayed in USD-equivalent terms). After one hour, the buyback offer expires; you remain the owner of the NFT and may list it on the marketplace, trade it with other users, hold it, or request physical delivery of the underlying card.
Withdrawing Funds
You may withdraw your USDC balance to an external wallet you control at any time, subject to standard verification and security checks. Withdrawal of funds to a fiat bank account (in THB or other local currency) is a feature we are currently developing. When this feature becomes available, fiat withdrawals will be processed through a licensed third-party off-ramp partner who will handle the conversion from USDC to your local currency and the transfer to your bank account. Oripa does not directly perform fiat conversion or operate as a foreign-exchange provider.
Nature of the Service
ORIPA IS A DIGITAL COLLECTIBLES PLATFORM. THE PLATFORM FACILITATES THE PURCHASE, OPENING, CUSTODY, TRADING, AND RESALE OF SEALED DIGITAL PACKS BACKED BY PHYSICAL GRADED TRADING CARDS HELD IN THIRD-PARTY VAULT CUSTODY. THE PLATFORM CREDIT BALANCE DESCRIBED IN THESE TERMS IS A CLOSED-LOOP PLATFORM BALANCE USED SOLELY WITHIN ORIPA; IT IS NOT A STORED-VALUE ACCOUNT, A PAYMENT INSTRUMENT ISSUED FOR GENERAL PAYMENT USE, A DEPOSIT, AN INVESTMENT PRODUCT, OR A SECURITY.
ORIPA IS NOT A BANK, A SECURITIES EXCHANGE, A BROKER-DEALER, A DIGITAL ASSET EXCHANGE, AN ELECTRONIC MONEY ISSUER, A FOREIGN EXCHANGE DEALER, AN INVESTMENT ADVISER, OR A MONEY SERVICES BUSINESS. ORIPA DOES NOT PROVIDE INVESTMENT, TAX, OR LEGAL ADVICE, AND NOTHING ON THE PLATFORM CONSTITUTES SUCH ADVICE. YOU ARE RESPONSIBLE FOR UNDERSTANDING THE TAX AND REGULATORY CONSEQUENCES OF YOUR USE OF THE PLATFORM IN YOUR JURISDICTION OF RESIDENCE.
WHERE ORIPA ACCEPTS USDC FROM USERS, THAT ACTIVITY IS CONDUCTED AS PART OF OUR PLATFORM OPERATIONS AND DOES NOT CONSTITUTE A PAYMENT FOR GOODS OR SERVICES WITHIN THE MEANING OF ANY APPLICABLE DIGITAL-ASSET PAYMENT RESTRICTION. WHERE ORIPA REPURCHASES NFTS FROM USERS VIA THE BUYBACK SERVICE DESCRIBED IN THESE TERMS, THAT ACTIVITY IS A SECONDARY-MARKET REPURCHASE BY ORIPA AS PLATFORM PRINCIPAL.
4.2 Platform Credit
Platform Credit is Oripa's in-platform balance used for purchasing Packs and other platform activity. It is obtained by converting USDC, and may also be received through Pack outcomes (where a Pack opens to a Platform Credit denomination rather than a Digital Title Asset). Platform Credit:
- Have no monetary value outside the platform and are not redeemable for cash or fiat currency directly;
- Are not transferable between accounts except as expressly permitted through the Service;
- May be used to purchase Packs, access platform features, and redeem rewards within the XP and quest system;
- May be adjusted, expired, or forfeited in response to suspected fraud, exploitation of bugs, or violations of these Terms.
4.3 Core Features
The core features of the Service include, but are not limited to:
- Boxes and Packs. Users may purchase digital Boxes containing a fixed number of digital Packs, each backed 1:1 by a real physical card held in vault custody. Outcomes are pre-committed before the Box goes live and revealed when a Pack is opened, under a provably fair commit-reveal scheme.
- Slot Selection. When opening certain Boxes, Users may select a slot or position from the available slots in that Box.
- Marketplace. A peer-to-peer environment in which Users may buy and sell Digital Title Assets representing vaulted physical cards, subject to applicable platform fees.
- Sell to Oripa. Immediately following a Pack opening that yields a Digital Title Asset, we will present a buyback offer valid for one hour. See Section 5.2.
- Redemption (Claim). Holders of Digital Title Assets may request shipment of the corresponding physical card from vault custody, subject to identity verification, redemption fees, and shipping charges.
- Reward Points, XP, Quests, and Leaderboards. Gamification features that reward platform engagement. XP has no monetary value and is not redeemable for cash.
- Promotions. From time to time we may offer giveaways, drops, sweepstakes, or similar promotional activities, each subject to its own Official Rules.
The Service is provided on an "as available" basis. We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service, except where prohibited by applicable law.
5. Boxes, Packs, and Provable Fairness
Each Box and Pack is offered for purchase (via Platform Credit) at a price displayed at the point of sale. Each Pack contains a single randomised card drawn from a defined pool of cards committed to that Box at the time the Box is published.
You acknowledge and agree that:
- The contents of each Pack are randomised and are not predetermined in respect of the User opening the Pack;
- The market value of the card you receive may differ from the Platform Credit price paid for the Pack or Box;
- Past pulls — whether your own or those of other Users — do not predict or guarantee future outcomes;
- Each purchase involves an inherent element of chance regarding the specific card received;
- All Pack openings are final once revealed, subject to the cooling-off right in Section 5.3, and the Digital Title Asset corresponding to your revealed card is delivered to your wallet on the Monad network.
5.1 Provable Fairness
We operate a cryptographic commitment scheme to provide verifiable fairness for each Box. Before any Box is made available for sale, we publish a commitment that cryptographically binds the assignment of cards to slots in that Box. After the Box closes (or after the relevant pull occurs, depending on the Box type), we publish the corresponding reveal data so that any User may independently verify that the assignment of cards was not altered after the commitment was made. Full details of the scheme, including the algorithm, the seed inputs, and the verification procedure, are set out in our Provable Fairness Disclosure.
Information about Box composition, odds, rarity tiers, and expected drop rates is available through the Service at the time you make a purchase. Any change to Box composition or odds applies only to Boxes published after the change and does not retroactively affect Boxes already committed and published.
5.2 Sell to Oripa
After a Pack is opened and yields a Digital Title Asset, we will automatically present you with a buyback offer for that card. The following terms apply:
- The buyback offer is presented within one to three minutes of Pack opening and remains valid for one (1) hour from the moment of Pack opening.
- You may accept the offer either immediately from the Pack-reveal screen or later from your inventory within the one-hour window. After one hour, the offer expires.
- The buyback price is 85% of the prevailing market price for the specific graded card. The 15% spread covers platform operating costs, vault storage and insurance, on-chain transaction fees, and inventory risk.
- Market price is determined by us at our discretion, drawing on third-party market data sources and recent secondary-market comparables.
- Buyback payouts are made in USDC and credited to your Platform Credit balance. After expiry, the Digital Title Asset remains in your account; you may list it on the Marketplace, trade it with other Users, hold it, or request physical delivery of the underlying card. The platform-as-counterparty buyback offer is not reinstated after expiry.
The Sell-to-Oripa feature is not guaranteed liquidity. You acknowledge that: (a) the feature is offered at our discretion and may be modified, suspended, or discontinued at any time; (b) we do not guarantee that any card will receive a buyback offer or that any buyback price will equal or exceed the Platform Credit price of the Pack or Box; (c) the feature is a separate, voluntary secondary-market transaction and is not a refund mechanism; and (d) the existence of a buyback option must not be relied upon as an assurance of value or return on any purchase.
5.3 Statutory Cooling-Off Period
Under the Thai Consumer Protection Act (CPA), you have the right to a full refund on unopened Packs within 7 (seven) calendar days of purchase. This right cannot be contracted away. To exercise this right, the Pack must remain unopened. Refunds under this provision are paid in USDC at the original purchase price equivalent. Once a Pack is opened, this cooling-off right is extinguished for that Pack.
5.4 Opened Packs — Permanent Ownership
Once a Pack is opened and a Digital Title Asset is delivered to your wallet, the opening is final and the cooling-off right under Section 5.3 is extinguished. The Digital Title Asset represents your permanent title of ownership to the specific physical graded card identified by its certification number and serial number held in Oripa's vault. You retain this ownership indefinitely until you choose to sell, transfer, or redeem it. There is no expiry on opened Digital Title Assets.
5.5 Box Retirement
Oripa may retire a Box before all Packs have been sold or opened. In the event of operator-initiated Box retirement: (a) Digital Title Assets already held in your wallet are unaffected; (b) unopened Packs held in your wallet retain your cooling-off rights under Section 5.3 for any Packs still within the 7-day window; (c) unsold Packs held in Oripa's inventory are removed from sale.
5.6 Assumption of Risk
By purchasing any Box or Pack, or otherwise engaging with any feature of the Service that involves randomised outcomes, you voluntarily assume all risks associated with that activity. You acknowledge that you have independently evaluated the risks, are not relying on any statement or guarantee by Oripa.cards regarding expected value or return, and accept full financial responsibility for any outcomes.
6. Marketplace
The Marketplace allows Users to buy and sell Digital Title Assets representing vaulted physical cards on a peer-to-peer basis. By using the Marketplace you acknowledge and agree that:
- Listings and sales. When you list a card for sale you make a binding offer to sell at the listed price. When a buyer purchases your listed card, the transaction is executed on-chain and is final and irreversible.
- Fees. We charge a platform fee on completed Marketplace transactions. The applicable fee rate is disclosed at the point of transaction and may be updated from time to time.
- No guarantee of sale. We do not guarantee that any listed item will sell or that any offer will be accepted.
- Pricing data. Any indicative pricing, fair market value, or comparable sales information shown on the Service is provided "as is" from internal calculations and third-party sources for informational purposes only.
- Listing cancellation. You may cancel or modify a listing at any time before a buyer completes a purchase. Once a purchase is completed, the sale is final and cannot be reversed.
- Pricing errors. We reserve the right to cancel transactions resulting from obvious pricing errors, technical glitches, or exploits.
- Peer-to-peer nature. Except where we are expressly identified as the seller, all Marketplace transactions are between Users. We facilitate the Marketplace environment and enforce platform rules but are not a party to peer-to-peer trades.
- Disputes. If you believe a Marketplace transaction involved fraud, misrepresentation, or a platform error, you may submit a dispute to our support team within seven (7) days of the transaction.
We may remove listings, restrict Marketplace access, or take other action at our reasonable discretion if we believe a User is engaging in fraudulent, manipulative, or otherwise prohibited conduct, including wash trading, shill bidding, or coordinated price manipulation.
7. Physical Cards and Vault Storage
Physical cards corresponding to Digital Title Assets issued through the Service are held in professional vault facilities operated by us or by third-party vault partners. Cards are professionally authenticated and, where applicable, professionally graded.
Title and custody. We act as custodial agent for physical cards held in vault facilities. You retain ownership rights to the physical card corresponding to your Digital Title Asset, as evidenced by the digital token in your wallet. Title to a physical card is assigned to you upon completion of the Pack opening or Marketplace purchase that delivers the corresponding Digital Title Asset to your wallet. Cards are tracked by certification or authentication number and by internal vault records associating each card with its digital owner.
You acknowledge and agree that:
- Vault storage and the availability of physical cards are subject to the terms, conditions, and operational capabilities of our vault partners;
- We are not an insurer of stored goods. Where cards are held with third-party vault partners, those partners typically maintain insurance policies subject to deductibles, exclusions, and limits, and coverage may be insufficient to cover the full replacement value of all stored items in the event of a catastrophic loss;
- We will not be liable for any delays, losses, or damages caused by acts or omissions of vault partners, freight forwarders, customs authorities, or shipping carriers, except to the extent caused by our gross negligence or willful misconduct.
Vault partner failure. If a vault partner ceases operations, breaches its agreement with us, or is otherwise unable to fulfil its custody obligations, we will use commercially reasonable efforts to transfer affected cards to an alternative vault partner and to maintain User access to their assets during any transition.
Business cessation. In the event of our insolvency, bankruptcy, receivership, or cessation of business operations, we will use commercially reasonable efforts to facilitate a claim window during which Users may redeem their physical cards. Physical cards held in vault custody on behalf of Users are not assets of The Concept Labs Company Limited and are not intended to be subject to claims of our general creditors. To initiate a redemption in such circumstances Users will be required to cover the cost of shipping and any applicable taxes and duties. The reclamation window will be at least three (3) months from the date of notice, subject to applicable law and the directions of any insolvency officeholder.
7.1 Redemption (Claim)
Users may redeem Digital Title Assets for the corresponding physical card by submitting a redemption request through the Service. To submit a redemption you must:
- Hold the Digital Title Asset in a wallet connected to your verified account;
- Provide a complete and valid shipping address, email address, and phone number;
- Complete any identity verification we require;
- Pay the applicable redemption fee, shipping fee, and any other charges disclosed at the point of redemption.
Upon completion of redemption, the corresponding Digital Title Asset will be permanently burned and the physical card will be shipped from the applicable vault. Delivery timelines are estimates only and are subject to vault processing, carrier availability, and customs clearance for cross-border shipments. You are responsible for any customs duties, import taxes, value-added or goods and services taxes, and other charges imposed by your local jurisdiction.
We reserve the right to reject any redemption request that does not meet our requirements or that we reasonably believe to be associated with fraud, prohibited conduct, or applicable legal restrictions.
8. Payments, Fees, and Taxes
All pricing and payment terms are as displayed at the point of sale. Most transactions on the Service settle in USDC or such other supported stablecoin as we may make available from time to time. We may also support credit or debit card payments through third-party payment processors and on- and off-ramp services through partner providers.
Platform Credit. USDC deposited to the platform is automatically converted to Platform Credit at the rate displayed at the time of top-up. Platform Credit is the in-platform balance used to purchase Packs and access platform features. Platform Credit is not cryptocurrency and is not directly redeemable for fiat currency. See Section 4.2 for full Platform Credit terms.
Third-party payment providers. Card payments and fiat-to-crypto conversions are handled by third-party processors. Those providers may have their own terms of service, privacy policies, and KYC/AML requirements that apply to your transactions. We are not responsible for delays, failures, or disputes arising from third-party payment processing.
Network fees. Monad network fees required to record transactions on-chain may be absorbed, subsidised, or passed through at our discretion, with the applicable treatment disclosed at the point of transaction.
Taxes. You are solely responsible for all sales, use, value-added, goods and services, withholding, income, capital gains, and other taxes, duties, and assessments now or hereafter imposed by any jurisdiction in connection with your use of the Service, except for taxes imposed on our net income. We do not provide tax advice.
Cooling-off and refunds. Unopened Packs may be refunded within the 7-day statutory cooling-off period as set out in Section 5.3. All purchases of Boxes and Packs are otherwise final and non-refundable once the relevant Pack has been opened and the corresponding card revealed. On-chain transactions, including Marketplace sales, are final and cannot be reversed by us. Nothing in this paragraph limits any non-waivable statutory consumer rights you may have under applicable law.
Chargebacks. If you initiate a chargeback or payment dispute with your card issuer or bank without first attempting resolution through our support channels, your account may be suspended and your assets frozen pending investigation.
Acknowledgment at purchase. By clicking "Buy", "Open", "Purchase", "Confirm", or any similar confirmation control, you reaffirm your agreement to these Terms, including the cooling-off terms, the no-refund policy for opened Packs, the assumption of risk, and the disclaimers in Section 12.
Payment and Transaction Information. When you add funds to your Oripa account, we collect information necessary to process the transaction. If you add funds via USDC, this includes the wallet address from which the deposit originates and the on-chain transaction reference. If you add funds via credit card, debit card, Apple Pay, or Google Pay, the payment itself is processed by our licensed third-party payment provider; we do not directly receive or store your full card number, but we receive a token reference, the cardholder country, and confirmation of payment.
We retain a record of your platform credit balance, all credits and debits to your account, and the timestamps and details of all pack purchases, marketplace transactions, peer-to-peer trades, buyback sales, and withdrawals. This information is held in our platform database in a controlled jurisdiction (see the Data Location section).
When you sell an NFT back to Oripa or list it on the marketplace, the transaction is recorded both in our platform database (with full user identity linkage) and on the public Monad blockchain (under your platform-generated pseudonymous wallet address, with no direct identity linkage). See the Blockchain and On-Chain Data section for how we handle the inherent immutability of blockchain data in the context of your right to erasure.
9. Reward Points, XP, Quests, and Promotions
The Service includes gamification features such as Reward Points (RP), experience points (XP), quests, streaks, leaderboards, and the Reward Shop. You acknowledge and agree that:
- XP is a platform metric with no monetary value, is not redeemable for cash or fiat currency, and is not transferable between accounts except as expressly permitted through the Service;
- Reward Points and XP may be adjusted, expired, forfeited, or removed at any time, including in response to suspected fraud, exploitation of bugs, or violations of these Terms;
- Items obtainable through the Reward Shop or quest rewards may include physical products, Pack openings, multipliers, cosmetic items, or similar benefits, the availability and terms of which we may modify at our discretion.
Promotions. From time to time we may offer giveaways, sweepstakes, drops, or similar Promotions. Each Promotion will be subject to its own Official Rules. In the event of a conflict between these Terms and the Official Rules of a particular Promotion, the Official Rules will govern with respect to that Promotion only. Promotions are void where prohibited by law.
10. Intellectual Property
10.1 Platform Content
The Service, including its design, software, text, images, graphics, logos, and all other content and materials (collectively, "Platform Content"), is owned by or licensed to Oripa.cards and is protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial purposes in accordance with these Terms.
You may not:
- Copy, modify, distribute, sell, or lease any part of the Service or Platform Content except as expressly permitted;
- Reverse-engineer, decompile, or disassemble any software used in the Service except to the extent permitted by mandatory applicable law;
- Use any automated means (including bots, scrapers, or spiders) to access or interact with the Service without our prior written consent;
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices.
10.2 Third-Party Intellectual Property
Trading cards available through the Service feature intellectual property — including artwork, characters, logos, and brand elements — owned by their respective rights holders, which may include The Pokémon Company, Konami Digital Entertainment, Wizards of the Coast, Bandai, Panini, Topps, and other publishers and licensors. Oripa.cards does not own, claim, or hold any licence to these intellectual properties.
A Digital Title Asset issued through the Service represents your title of ownership to a specific physical graded card held in Oripa's vault, identified by its grader certification number and serial number. Acquiring a Digital Title Asset does not grant you any licence or rights in the intellectual property of the card's artwork, characters, brand, or content. Your rights in the physical card are the same rights you would have as the owner of any legitimately purchased physical trading card — including the right to hold, sell, or redeem it — and do not extend to reproduction, commercial use, or exploitation of the underlying intellectual property.
10.3 Feedback
If you provide us with any ideas, suggestions, or feedback regarding the Service, you grant us a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, and exploit that feedback for any purpose, without obligation to you.
11. Prohibited Conduct
You agree that you will not, and will not attempt to:
- Access or use the Service if you are located in or are a permanent resident of a Restricted Jurisdiction listed in Section 2.1;
- Use a VPN, proxy, Tor, or any similar tool to mask your geographic location or circumvent geographic restrictions;
- Violate any applicable law, regulation, or sanctions regime, including anti-money laundering, counter-terrorist financing, securities, or consumer protection laws;
- Provide false, misleading, or fraudulent information to us, including in connection with age verification, KYC, redemption, or dispute processes;
- Pose as another person or entity, or use another User's wallet or account without authorization;
- Engage in market manipulation, including wash trading, shill bidding, "pump and dump" schemes, or coordinated trading designed to deceive other Users or distort apparent demand;
- Use the Service to launder money, finance terrorism, or carry out any other illegal activity;
- Create multiple accounts to circumvent platform rules, geographic restrictions, promotional eligibility, or rate limits;
- Attempt to exploit, hack, or interfere with the Service, its infrastructure, smart contracts, provably fair mechanisms, or security systems;
- Use the Service to transmit malware, viruses, or other harmful code;
- Collect, harvest, or store personal information of other Users without their explicit consent;
- Use bots, scripts, or automated tools to interact with the Service without our prior written consent;
- Harass, threaten, or abuse other Users via in-app messaging, social features, or any other channel.
We reserve the right to investigate suspected breaches of this Section 11 and to take action including issuing warnings, removing listings or content, suspending or terminating accounts, freezing balances pending investigation, and reporting violations to law enforcement or regulatory authorities.
12. Disclaimers
THE SERVICE, ALL CONTENT MADE AVAILABLE THROUGH THE SERVICE, AND ALL DIGITAL TITLE ASSETS, BOXES, PACKS, AND PHYSICAL CARDS PROVIDED THROUGH THE SERVICE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ORIPA.CARDS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the foregoing, we make no warranty or representation that:
- The Service will be uninterrupted, timely, secure, or error-free;
- Results obtained from the Service will be accurate or reliable;
- Any Digital Title Asset, Box, or Pack acquired through the Service will retain or increase in value;
- The Monad network or any other blockchain, wallet provider, payment processor, or third-party service will operate without disruption;
- Physical cards in vault storage will be free from loss, damage, or deterioration.
Randomised rewards. You acknowledge that Box and Pack purchases involve randomised outcomes and that the market value of cards received may differ from the price paid.
No fiduciary duty. Our role is limited to providing a platform that facilitates the purchase, sale, storage, redemption, and management of digital and physical collectibles. We do not act as a trustee, fiduciary, financial advisor, or investment manager with respect to your assets or transactions.
Third-party services. The Service relies on, and may link to, third-party services including blockchain networks, wallet infrastructure, payment processors, vault partners, grading services, and shipping carriers. We do not control and are not responsible for the acts or omissions of any third party. Your use of any third-party service is at your own risk and subject to that third party's terms.
Nothing in this Section 12 excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, or willful misconduct, or any non-waivable statutory consumer rights.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ORIPA.CARDS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE THOUSAND U.S. DOLLARS (USD 1,000).
Some jurisdictions do not permit the exclusion or limitation of certain warranties or liabilities. In such jurisdictions the foregoing limitations apply to the fullest extent permitted by applicable law, and nothing in this Section 13 affects any liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, or willful misconduct.
14. Indemnification
To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Oripa.cards and its affiliates, officers, directors, employees, agents, partners, licensors, and service providers (the "Indemnified Parties") from and against any and all claims, demands, actions, damages, losses, costs, liabilities, and expenses (including reasonable attorneys' fees and legal costs) arising out of or in connection with:
- Your access to or use of the Service;
- Your breach of these Terms or any applicable law or regulation;
- Your violation of the rights of any third party, including intellectual property, privacy, or publicity rights;
- Any content you submit, post, or transmit through the Service;
- Any dispute between you and any other User of the Service;
- Your use of Digital Title Assets, including any losses resulting from blockchain transactions, wallet management, or market volatility.
We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, in which case you agree to cooperate with our defense. You shall not settle any claim without our prior written consent. Your indemnification obligations do not apply to the extent a claim arises from our gross negligence, willful misconduct, or fraud.
15. Governing Law and Dispute Resolution
These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a "Dispute") are governed by and construed in accordance with the laws of the Kingdom of Thailand, without regard to its conflict of laws principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is excluded.
15.1 Informal Resolution
Before initiating any formal proceeding, you agree to first attempt to resolve any Dispute informally by contacting us at [email protected] with a written description that includes your name, account email, the nature of the Dispute, and the specific relief sought. We will attempt to resolve the Dispute informally within sixty (60) days of receiving your notice. Any applicable limitation period or filing deadline is tolled during this informal resolution period. Compliance with this informal resolution procedure is a condition precedent to initiating arbitration or court proceedings (other than as expressly permitted under Section 15.4).
15.2 Binding Arbitration
If a Dispute is not resolved within the informal resolution period, it will be finally and exclusively resolved by binding arbitration administered by the Thai Arbitration Institute (TAI) in accordance with its rules then in force, except as modified by these Terms. The seat of arbitration shall be Bangkok, Thailand, and the language of the arbitration shall be English. The tribunal shall consist of a sole arbitrator unless the parties agree otherwise. The arbitrator's award shall be final and binding and may be entered in any court of competent jurisdiction.
The arbitrator shall have exclusive authority to resolve any Dispute relating to the interpretation, applicability, enforceability, or formation of these Terms, including any claim that all or part of these Terms is void or voidable.
15.3 Class Action Waiver
YOU AND ORIPA.CARDS AGREE THAT ANY ARBITRATION OR LEGAL PROCEEDING WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, COLLECTIVE ACTION, REPRESENTATIVE ACTION, OR PRIVATE ATTORNEY GENERAL ACTION. You expressly waive any right to participate in a class action or to seek relief on a class-wide basis, except where such waiver is prohibited by applicable law.
15.4 Exceptions
Notwithstanding the foregoing: (a) either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights, confidential information, or other proprietary rights; and (b) you may bring an individual action in a small claims or consumer court of competent jurisdiction in your country of residence, where such right is provided by mandatory applicable law.
15.5 Limitation Period
To the fullest extent permitted by applicable law, any claim or cause of action arising out of or relating to these Terms or the Service must be commenced within one (1) year after the cause of action accrues. Any claim not brought within this period is permanently barred.
16. Termination
These Terms remain in effect for as long as you use the Service. We may, in our sole discretion, suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, including for:
- Breach of these Terms or any other agreement with us;
- Conduct we reasonably believe is harmful to other Users, the Service, or our interests;
- A request or order from law enforcement, a regulator, or another competent authority;
- Significant technical or security issues;
- Extended periods of account inactivity.
Upon termination, your right to use the Service ceases immediately. Subject to applicable law and to any legal hold, regulatory directive, or fraud investigation:
- Digital Title Assets held in a self-custodial wallet remain yours, subject to the rules of the Monad network, and we have no ability to remove them from that wallet;
- Embedded wallets managed through our wallet partner remain accessible through that partner's infrastructure independent of our operational status;
- Physical card redemption. For terminations without cause we will provide a reasonable window (typically up to thirty (30) days) for you to initiate redemption of physical cards held in vault custody, subject to standard redemption fees, identity verification, and shipping requirements. For terminations relating to fraud or breach of these Terms, the post-termination redemption window may be shortened or access may be restricted pending investigation;
- Restricted or sanctioned users. For Users terminated due to sanctions violations or regulatory directives, assets may be frozen indefinitely until legally permitted to be released.
The following sections survive termination of these Terms: Sections 5.6 (Assumption of Risk), 8 (Payments, Fees, and Taxes — to the extent of obligations accrued before termination), 10 (Intellectual Property), 12 (Disclaimers), 13 (Limitation of Liability), 14 (Indemnification), 15 (Governing Law and Dispute Resolution), and 17 (General Provisions).
17. General Provisions
Entire agreement. These Terms, together with our Privacy Policy, the Provable Fairness Disclosure, and any supplemental terms or policies referenced in these Terms, constitute the entire agreement between you and Oripa.cards with respect to the Service and supersede all prior or contemporaneous communications and proposals. In the event of any conflict between these Terms and our Terms & Conditions (presented at registration), the Terms & Conditions shall govern to the extent of the inconsistency.
Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions remain in full force and effect.
Waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Oripa.cards.
Assignment. You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms, in whole or in part, without restriction.
Force majeure. We are not liable for any failure or delay in performance under these Terms due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, pandemics, governmental actions, blockchain network failures, internet outages, or third-party service disruptions.
Network events. In the event of a network fork, reorganization, chain halt, or other significant event affecting the Monad network or any other supported network: (a) we will recognize the canonical chain as determined by the relevant validator consensus; (b) we have no obligation to support assets on non-canonical forks; (c) duplicate assets resulting from chain splits will not be honored.
Notices. Notices to us must be sent to [email protected] or to our registered office set out in Section 18. Notices to you may be provided via the email address associated with your account or through the Service.
No third-party beneficiaries. Except as expressly provided in these Terms, no person other than the parties has any right to enforce these Terms.
International users. If you are located outside Thailand, you may have non-waivable statutory rights under the consumer protection laws of your jurisdiction. Nothing in these Terms is intended to exclude or limit any such mandatory rights.
Language. These Terms are drafted in English. Any translation is provided for convenience only. In the event of any inconsistency between the English version and any translation, the English version shall prevail to the extent permitted by applicable law.
